“Client” means any natural or legal person using The Skate Lab’s webshop or entering into a contractual or pre-contractual relationship concerning an online purchase. This includes users, customers, buyers, purchasers, consumers, recipients, and contracting parties.

“Products” means goods, items, materials, equipment, components, and merchandise offered or sold through The Skate Lab’s webshop.

“T&C” means these Terms and Conditions, as amended from time to time.

Scope and Applicability

These T&C apply to online purchases, orders, reservations of Products, use of the webshop, and related contractual or pre-contractual relationships with The Skate Lab.

By using The Skate Lab’s webshop or purchasing Products online, the Client acknowledges and agrees to be fully and unconditionally bound by these T&C, without reservation.

In the event that both the Client and The Skate Lab maintain their own terms and conditions, the Client expressly agrees that these T&C shall prevail and exclusively govern the legal relationship. No contractual or pre-contractual relationship shall exist that is not governed by these T&C.

These T&C are published on the official website of The Skate Lab. The version published on The Skate Lab’s website is the governing version of these T&C. In the event of any difference from versions published elsewhere, this version shall prevail, shall be deemed the sole legally binding version of these T&C, and shall be considered the most current and authoritative.

The Skate Lab forms part of the Imperial Crown family of brands. These T&C govern online product sales through The Skate Lab, including where an associated entity supplies the Products. They do not govern separate coaching, consultancy, performances, on-site assignments, governance roles, or other professional services.

Payment Terms

All invoices shall be paid in full within the payment term specified on the invoice, into the bank account designated by The Skate Lab. Online sales will be met using the online payment service provided by The Skate Lab.

If payment is not received within the initial payment term, The Skate Lab reserves the right to increase the outstanding invoice amount by 100% for each subsequent period of seven (7) calendar days during which payment remains outstanding. This surcharge shall accrue without limitation and without the need for further notice of default.

In addition to the surcharge, the Client shall be responsible for all costs of collection, including but not limited to administrative fees, attorney fees, and costs of third-party collection agencies.

Liability and Waiver of Claims

The Skate Lab excludes all liability, under any legal theory and in any form whatsoever, for any direct, indirect, consequential, incidental, or other damages arising out of or in connection with any Product, online order, use of the webshop, or related legal relationship with the Client.

The Client expressly waives, releases, and renounces any and all rights to bring claims, demands, proceedings, or requests for compensation or damages of any nature whatsoever against The Skate Lab, its representatives, or associated entities.

Intellectual Property

All intellectual property rights relating to the webshop, including copyrights, trademarks, trade secrets, patents, know-how, designs, texts, images, logos, symbols, recordings, product descriptions, branding, videos, and graphic elements, remain the property of The Skate Lab or the relevant suppliers or licensors.

The Client may use such intellectual property only with the prior express written consent of the rights holder and within the scope of a limited, non-transferable licence expressly granted in writing. No transfer, assignment, or licence is granted merely by purchasing a Product or using the webshop.

Without prior written permission, this content may not be reproduced, adapted, distributed, shared, disclosed, or used commercially. Any unauthorised use shall constitute an infringement subject to immediate legal action, damages, and injunctive relief.

Confidentiality

The Client undertakes to treat as strictly confidential any and all information, communications, or materials disclosed by or relating to The Skate Lab in connection with an online order or use of the webshop, whether written, oral, digital, visual, or otherwise, and whether expressly marked confidential or not.

The Client shall not disclose, reproduce, transmit, or make available such confidential information to any third party without the prior express written consent of The Skate Lab.

This obligation of confidentiality shall be perpetual, surviving the termination of the contractual or pre-contractual relationship, and shall apply to all uses, direct or indirect.

Any breach of confidentiality shall entitle The Skate Lab to immediate legal recourse, including but not limited to damages, injunctive relief, and termination of all relations.

Force Majeure

The Skate Lab shall not be liable or responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, armed conflict, terrorism, epidemics, pandemics, strikes, lockouts, labor disputes, government measures, embargoes, or power failures.

In such cases, the Client shall remain fully obligated to pay for expenses incurred and the full contract price of any online orders that could not be delivered due to the force majeure event.

Indemnification

The Client shall fully indemnify, defend, and hold harmless The Skate Lab, its representatives, and affiliates against any and all claims, damages, liabilities, losses, costs, and expenses (including legal fees) arising from or related to:

(a) the Client’s use of The Skate Lab’s webshop, Products, or webshop content;

(b) any third-party claim based on the Client’s conduct, omissions, or breach of these T&C.

Data and Privacy

By using the webshop or placing an online order with The Skate Lab, the Client consents to the collection, storage, and use of personal and business data by The Skate Lab for administrative, contractual, marketing, and legal purposes.

The Skate Lab shall handle such data at its sole discretion, subject only to applicable mandatory legal standards.

Non-Disparagement

The Client agrees never to make, publish, or communicate any statement, whether written, oral, digital, or otherwise, that may reasonably be interpreted as derogatory, defamatory, or harmful to the reputation, standing, or interests of The Skate Lab.

This obligation is perpetual and applies both during and after the termination of the relationship.

Upon demand by The Skate Lab, the Client shall issue a public apology, in a form, content, and manner determined exclusively by The Skate Lab, correcting and retracting the disparaging statements.

Any breach shall entitle The Skate Lab to immediate legal recourse, including damages, injunctive relief, termination of relations, and the enforcement of the public apology obligation.

Termination

The Skate Lab reserves the right to terminate, suspend, or withdraw from any contractual or pre-contractual relationship concerning an online order or webshop use, in whole or in part, at any time and for any reason, with or without cause, by written or electronic notice.

Such termination shall not discharge the Client from any existing or future obligation to pay fees, charges, or other amounts due under these T&C or under any contract, whether or not the online order has been fulfilled in whole or in part.

The Client shall have no right to claim compensation, damages, or restitution of any kind as a result of such termination.

Jurisdiction and Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these T&C, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration in accordance with the Statute of Eglives Demalion, or provisions derived therefrom.

In the event that arbitration under the jurisdiction of Eglives Demalion is deemed unenforceable by a competent authority, disputes shall be submitted exclusively to the competent courts of the Netherlands, and Dutch law shall apply as a fallback.

Amendments

The Skate Lab reserves the right to amend these T&C at any time, without prior notice to the Client. Amended terms shall take immediate effect upon publication or notification and shall automatically govern all ongoing and future legal relationships concerning online purchases and webshop use between The Skate Lab and the Client.

Residual Authority

In any situation not expressly covered by these T&C, The Skate Lab reserves the right to make determinations, issue guidelines, or establish obligations which shall be binding upon the Client.

Severability

If any provision of these T&C is held invalid, unlawful, or unenforceable for any reason, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the intent and purpose of the original.

- Payment Terms
- Liability and Waiver of Claims
- Intellectual Property
- Confidentiality
- Indemnification
